evolving cryptocurrency landscape.</p></div><h3><strong>About the Role</strong></h3> <p>As <strong>Counsel, </strong><strong>Corporate and FinTech Product</strong>, you will be a cornerstone of the FalconX legal team, driving the execution of our global commercial strategy while safeguarding the firm’s corporate integrity. You will provide strategic legal guidance across a broad spectrum of corporate, regulatory, and transactional matters. This role requires a high-energy "builder" mindset, working cross-functionally to support rapid business initiatives and ensuring compliance with evolving global regulations.</p> <h3><strong>Responsibilities</strong></h3> <ul> <li><strong>Commercial Contracting:</strong> Lead the drafting, negotiation, and review of complex commercial agreements, including SaaS licensing, strategic partnerships, vendor services, and client-facing institutional trading agreements.</li> <li><strong>Corporate Governance:</strong> Provide legal counsel on corporate governance frameworks, manage entity management tasks, and assist in preparing materials for Board of Directors meetings.</li> <li><strong>Intellectual Property:</strong> Oversee and protect FalconX’s IP portfolio, including managing trademark filings, advising on patent strategy, and ensuring IP protections are robust in all third-party collaborations.</li> <li><strong>General Corporate Matters:</strong> Support equity plan administration, internal restructurings, and intercompany agreements.</li> <li><strong>Regulatory Monitoring:</strong> Track global regulatory developments in the digital asset and financial services space, advising stakeholders on future amendments or risks to our commercial product suite.</li> <li><strong>Cross-Functional Collaboration:</strong> Partner closely with Product, Engineering, and Sales teams to launch new features while adhering to financial regulations.</li> <li><strong>Risk &amp; Dispute Management:</strong> Assist in handling commercial disputes, regulatory inquiries, and the development of internal legal policies.</li> </ul> <h3><strong>Requirements</strong></h3> <ul> <li><strong>Education:</strong> Juris Doctor (JD) or equivalent legal degree from an accredited institution.</li> <li><strong>Bar Admission:</strong> Active admission to a State Bar and in good standing.</li> <li><strong>Experience:</strong> 5+ years of legal experience, ideally beginning at a top-tier law firm followed by in-house experience at a high-growth fintech or digital asset platform.</li> <li><strong>Subject Matter Expertise:</strong> Deep experience in corporate law, commercial transactions (specifically SaaS and partnerships), and fintech regulations.</li> <li><strong>Crypto Fluency:</strong> Familiarity or expressed interest with cryptocurrency, blockchain technology, and the associated global regulatory frameworks.</li> <li><strong>Soft Skills:</strong> Ability to distill complex legal concepts into actionable business advice for non-legal stakeholders.</li> </ul> <p><strong>The base pay for this role is expected to be between $196,000 - $248,000 in New York City. </strong>This expected base pay range is based on information at the time this post was generated.
