evolving cryptocurrency landscape.</p></div><h2><strong>The Opportunity</strong></h2> <p>We are seeking an experienced <strong>Credit Counsel</strong> to join our legal team as a primary legal advisor to FalconX’s credit businesses. In this high-impact role, you will provide strategic legal guidance on all aspects of digital asset lending, margin, borrowing, and other credit-related activities. You will work cross-functionally with Product, Markets, Risk, Operations, and Compliance teams to support new product development, ensure regulatory compliance, and manage legal risk in a rapidly evolving market.</p> <h2><strong>Key Responsibilities</strong></h2> <ul> <li><strong>Credit Product Support:</strong></li> <ul> <li>Advise on the structuring, negotiation, and documentation of digital asset loans, margin facilities, borrowing structures, and other credit arrangements.</li> <li>Draft, review, and negotiate master loan agreements, collateral agreements, security documents, and related transactional documentation.</li> <li>Partner with Product and Business Development teams to design and launch new credit products and structures.</li> </ul> </ul> <ul> <li><strong>Regulatory &amp; Compliance Advisory:</strong></li> <ul> <li>Analyze and advise on U.S. and international legal and regulatory frameworks applicable to digital asset lending, including securities, commodities, banking, and consumer protection laws.</li> <li>Monitor regulatory developments impacting digital asset credit markets and communicate implications to internal stakeholders.</li> <li>Collaborate with Compliance to develop and maintain policies, procedures, and controls for credit operations.</li> </ul> </ul> <ul> <li><strong>Risk Management:</strong></li> <ul> <li>Identify, assess, and mitigate legal risks associated with credit extension, collateral management, counterparty default, and insolvency scenarios.</li> <li>Support the development and implementation of robust risk management frameworks for credit exposures.</li> </ul> </ul> <ul> <li><strong>Dispute Resolution &amp; Enforcement:</strong></li> <ul> <li>Manage and resolve disputes, litigation, or enforcement actions arising from credit transactions or counterparties.</li> <li>Oversee workout, restructuring, and recovery efforts in distressed situations.</li> </ul> </ul> <ul> <li><strong>Cross-Functional Collaboration:</strong></li> <ul> <li>Work closely with Markets, Operations, Risk, and Technology teams to ensure seamless execution and settlement of credit transactions.</li> <li>Educate business partners on legal and regulatory issues affecting the credit business.</li> </ul> </ul> <h2><strong>Qualifications</strong></h2> <ul> <li>J.D. from an accredited law school; active membership in good standing with at least one U.S. state bar.</li> <li><strong>4 - 7 years</strong> of relevant legal experience, with significant time spent advising on credit, lending, or structured finance matters for financial institutions, fintechs, or digital asset firms.</li> <li>Deep understanding of secured lending, margin, and collateral management practices.</li> <li>Familiarity with UCC Article 9, bankruptcy/insolvency regimes, and digital asset custody considerations.</li> <li>Experience drafting and negotia
